These Terms of Use (“Terms”) govern your access to and use of the CoPanel platform, website, and related services (collectively, the “Service”). By using or accessing our Service, you agree to these Terms. If you do not agree with these Terms, you must discontinue use of the Service immediately.
1. License and Access
1.1 - CoPanel grants you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for its intended purpose, subject to these Terms.
1.2 - All materials, data, content, software, and tools available on CoPanel (the “Content”) are provided for use strictly within the platform. You may not copy, download, print, or otherwise reproduce any Content, whether for personal or commercial use, without explicit written permission from CoPanel.
2. Ownership and Intellectual Property
2.1 - All artifacts, materials, and data created, uploaded, or modified through your use of CoPanel (“User Artifacts”) are the sole property of CoPanel. You hereby assign any rights or claims over User Artifacts created or modified during use of the Service to CoPanel.
2.2 - You acknowledge and agree that all intellectual property rights associated with CoPanel, including but not limited to software, documentation, trademarks, and logos, are the exclusive property of CoPanel. You will not engage in any activity that infringes upon or otherwise violates CoPanel’s intellectual property rights.
2.3 - All product names, logos, and brands mentioned on this platform are the property of their respective owners. Use of these names, logos, and brands does not imply endorsement or affiliation. CoPanel does not claim any rights to third-party trademarks referenced on the site.
3. Prohibited Activities
3.1 - You agree not to engage in any of the following activities while using the Service:
3.1.1 - Unauthorized Access and Usage
- Attempting to gain unauthorized access to CoPanel's systems, servers, or networks.
- Using another user's account without explicit permission.
- Reverse-engineering, decompiling, or disassembling any part of the CoPanel platform.
- Introducing malicious software, scripts, or code (e.g., viruses, worms, Trojans) to the platform.
- Engaging in activities that disrupt, overload, or interfere with the normal operation of the platform (e.g., DDoS attacks).
- Using CoPanel to harass, intimidate, or harm other users, interviewers, or candidates.
- Posting or transmitting offensive, abusive, or hateful content.
- Copying, reproducing, or distributing CoPanel’s proprietary content, including questions, project structures, or software, without authorization.
- Using trademarks, logos, or branding without express permission.
- Uploading, sharing, or transmitting content that is illegal, obscene, defamatory, or otherwise objectionable.
- Impersonating another person or entity.
- Submitting false or misleading information.
- Reselling, sublicensing, or redistributing CoPanel’s services or materials without authorization.
- Using CoPanel for unauthorized commercial purposes, such as running assessments for third parties outside of a valid agreement.
- Collecting, storing, or sharing personal information about other users or candidates without their consent.
- Engaging in activities that violate data protection regulations (e.g., GDPR, CCPA).
- Claiming or implying affiliation with CoPanel without authorization.
- Using CoPanel to promote or endorse any service, product, or content without prior approval.
- Using bots, scrapers, or other automated tools to access, extract, or manipulate data from the platform.
- Assisting candidates or receiving assistance in cheating during interviews or assessments.
- Sharing or publishing CoPanel’s assessment questions or solutions without authorization.
- Using CoPanel for any activity that violates applicable local, national, or international laws, including intellectual property and anti-discrimination laws.
Any violation of these prohibitions may result in immediate suspension or termination of your account, along with legal action where applicable.
4. User Responsibility
4.1 - You agree to use the Service only for lawful purposes and in a manner that does not violate the rights of, or restrict the use of, the Service by others.
4.2 - You are responsible for any actions that occur under your account, including any materials you upload. You agree not to upload, share, or distribute any materials or content that could harm CoPanel or its users or compromise the integrity, security, or availability of the Service.
5. Disclaimer of Warranties and Limitation of Liability
5.1 - CoPanel provides the Service on an “as is” and “as available” basis, without any representations or warranties of any kind, either express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, or operation.
5.2 - CoPanel shall not be liable for any indirect, incidental, punitive, or consequential damages, including but not limited to lost data, lost profits, or business interruption, arising out of your use of or inability to use the Service, even if CoPanel has been advised of the possibility of such damages.
5.3 CoPanel assumes no liability for any damages or losses arising from:
- User-uploaded materials that may be harmful, malicious, or incompatible with the Service.
- User actions that may violate these Terms or applicable laws.
- Errors, interruptions, or delays in the Service due to causes outside of CoPanel’s reasonable control.
6. Data Collection and Privacy
6.1 - CoPanel tracks and monitors user activity within the Service for security, operational insights, and improvement of the Service. By using CoPanel, you consent to this tracking.
6.2 - CoPanel’s Privacy Policy outlines in detail how user data is collected, used, and protected. Please review our Privacy Policy, which is incorporated into these Terms by reference.
7. Indemnification
You agree to indemnify, defend, and hold CoPanel harmless from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) arising from or related to:
- Your violation of these Terms.
- Your use of the Service.
- Any content you upload or actions you take that may cause harm to CoPanel or its users.
8. Modifications to the Terms
CoPanel reserves the right to modify or update these Terms at any time. Any changes will be effective immediately upon posting. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
9. Termination
CoPanel may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms.
10. Payment Terms and Refund Policy
All payments are billed in advance and are non-refundable unless otherwise specified. Failure to process payment will result in suspension or termination of access to CoPanel.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of Assam, India. Any disputes arising under these Terms shall be resolved exclusively in the courts of Assam, India.
12. Compliance with Laws
Users are responsible for ensuring that their use of CoPanel complies with applicable local, national, and international laws.
